1. Acceptance of Terms

By accessing or using the TalkSpense mobile application (“App”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the App.

Eligibility: - You must be at least 13 years old to use this App - If you are under 18, you must have parental/guardian consent - You must provide accurate and complete registration information

TalkSpense is a voice-powered expense tracking application that provides:

3.1 Account Creation

When you create an account: - You must provide accurate, current, and complete information - You are responsible for maintaining the confidentiality of your account credentials - You are responsible for all activities that occur under your account - One account per user (no account sharing) - You must notify us immediately of any unauthorized access

3.2 Account Termination

Your Rights: - You can delete your account at any time by contacting support@talkspense.app - Upon deletion, your data will be permanently removed within 30 days

Our Rights: - We may suspend or terminate your account for violations of these Terms - We may terminate accounts that are inactive for more than 24 months (with 30 days notice) - We reserve the right to refuse service to anyone for any lawful reason

Note: Prices may vary by region and are subject to local taxes and App Store/Google Play fees.

4.2 Billing & Renewals

Subscription Billing: - Subscriptions auto-renew unless canceled at least 24 hours before the end of the current period - Your payment method will be charged via App Store (iOS) or Google Play (Android) - You can manage or cancel subscriptions in your device’s account settings

Lifetime Plan: - One-time payment, no auto-renewal - Subject to Fair Use Policy (see Section 4.4)

Price Changes: - We will notify you at least 30 days before any price increase - Continued use after price change = acceptance of new pricing

4.3 Refunds

7-Day Cooling-Off Period (EU Law): - EU customers can request a full refund within 7 days of purchase - Contact support@talkspense.app with your order details

Other Refunds: - No refunds for partial subscription periods (if you cancel mid-month) - Lifetime plan refunds are evaluated case-by-case within 14 days of purchase - App Store and Google Play refund policies apply

How to Request a Refund: 1. Email support@talkspense.app with subject "Refund Request" 2. Include your order ID and reason for refund 3. We will respond within 3 business days

4.4 Fair Use Policy (Lifetime Plan)

The Lifetime plan is intended for personal/household expense tracking. We define “fair use” as:

Monthly Limits: - 200 voice inputs - 60 receipt scans - 100 AI chat queries

Prohibited Abuse: - Commercial use (business expense tracking for multiple companies) - Reselling access or sharing accounts - Automated scraping or API abuse - Using the app for non-personal purposes

Enforcement: - We monitor usage patterns for anomalies - Excessive use (>3x monthly limits consistently) may result in account review - Confirmed abuse = account suspension with 14 days notice - Refunds for suspended Lifetime accounts are at our discretion

5. User Responsibilities

5.1 Prohibited Use

You agree NOT to: - Use the App for any illegal activities - Upload malicious files (viruses, malware) - Use automated bots or scrapers - Reverse engineer, decompile, or disassemble the App - Resell, sublicense, or share your account - Harass or impersonate other users - Violate any applicable laws or regulations

5.2 Your Content

Ownership: - You retain all rights to your expense data, receipts, and notes - We do not claim ownership of your content

License to Us: - You grant us a limited license to process your content for app functionality: - AI transcription of voice/receipts - Generating expense reports - Backing up your data - This license ends when you delete your content or account

Your Responsibility: - You are responsible for the accuracy of your data - You must ensure uploaded content does not violate third-party rights (e.g., copyrighted receipts from private events)

6. AI Features Disclaimer

6.1 Accuracy

AI is NOT Perfect: - Voice transcription may mishear words (e.g., “fifty” vs. “fifteen”) - OCR may misread handwritten receipts or low-quality images - Category suggestions may be incorrect

Your Responsibility: - ALWAYS verify AI-parsed expenses before saving - We are NOT liable for financial errors caused by AI misinterpretation - Manually correct any inaccuracies in the app

6.2 Third-Party AI Services

We use: - Groq Whisper for voice transcription - Google Gemini (via OpenRouter) for receipt OCR and AI reports

Limitations: - AI services may experience downtime or rate limits - We cannot guarantee 100% uptime for AI features - If AI services are unavailable, you can still manually enter expenses

7. Limitation of Liability

“AS IS” Service: - The App is provided “AS IS” without warranties of any kind (express or implied) - We do not guarantee error-free operation or uninterrupted service

No Liability for: - Lost data (you should export backups regularly) - Financial errors from AI misinterpretation - Third-party service outages (Supabase, Groq, OpenRouter) - Incompatibility with your device

Maximum Liability: - Our total liability is limited to the amount you paid in the last 12 months - For Free plan users, liability is limited to $10 USD

Exclusions: - Some jurisdictions do not allow liability limitations, so the above may not apply to you

EU Consumer Rights: This disclaimer does not limit your statutory rights under EU consumer protection laws, including the right to a remedy for non-conforming digital content or services.

8. Indemnification

Your Indemnification to Us: - You agree to indemnify and hold us harmless from claims arising from: - Your violation of these Terms - Your misuse of the App - Your content violating third-party rights

Our Indemnification to You: - We will defend you against claims that the App infringes third-party intellectual property rights - Exceptions: if you modified the App or used it in violation of these Terms

9. Intellectual Property

Our IP: - The TalkSpense app, source code, design, and trademarks are our property - You may not copy, modify, or distribute the App - TalkSpense™ is a trademark (registration pending)

Your IP: - You retain ownership of your expense data - We do not claim rights to your content

Open Source: - The App uses open-source libraries (see Licenses screen in app) - Third-party licenses apply to those components

10. Changes to Terms

We may update these Terms from time to time. When we make material changes:

Major Changes (e.g., price increases, new limitations): - We will provide 30 days notice - You can cancel your subscription before changes take effect

11. Termination

You Can Terminate: - Cancel subscription anytime (no partial refunds) - Delete account by contacting support@talkspense.app

We Can Terminate: - For Terms violations (with 14 days notice) - For abusive behavior (immediate suspension) - For prolonged inactivity (24+ months, with 30 days notice)

After Termination: - Your data is retained for 30 days (in case you change your mind) - After 30 days, all data is permanently deleted - Subscription refunds are pro-rated for annual plans (if we terminate without cause)

12. Governing Law & Disputes

Applicable Law: - These Terms are governed by the laws of Poland - EU law (GDPR) applies to all EU users - Local consumer protection laws apply in your jurisdiction

Dispute Resolution: 1. Informal Resolution: Contact support@talkspense.app first 2. Mediation: If unresolved, we agree to mediation 3. Arbitration: Binding arbitration in Warsaw, Poland (for amounts over €5,000) 4. Small Claims Court: You can file in your local small claims court (for amounts under €5,000)

Class Action Waiver: - You agree to resolve disputes individually, not as part of a class action (where permitted by law)

EU Consumer Rights: - EU consumers retain all statutory rights under consumer protection laws - This section does not limit your rights under EU law

13. Miscellaneous

Entire Agreement: - These Terms, together with our Privacy Policy, constitute the entire agreement

Severability: - If any provision is found invalid, the remaining provisions remain in effect

No Waiver: - Our failure to enforce a right does not waive that right

Assignment: - You cannot transfer your account or these Terms - We may assign these Terms (e.g., in a merger)

Force Majeure: - We are not liable for delays caused by events beyond our control (natural disasters, pandemics, etc.)

Language: - In case of conflicts between translations, the English version prevails
